These Terms of Service ("Terms") govern your use of the AgentOC platform, website, and services (collectively, the "Services"), operated by Martell Media LLC ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old and legally able to enter into a binding agreement. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate and complete information when registering.
AgentOC provides AI-powered automation services, including AI voice and text agents, workflow automation, data integration, outreach tools, and related features. The Services may generate automated communications, content, and analyses on your behalf. We may modify, suspend, or discontinue features at any time without notice.
Our Services use artificial intelligence to generate responses, content, and automations. AI outputs may contain errors, inaccuracies, or unintended results. We do not guarantee the accuracy, reliability, or completeness of any AI-generated content. You are solely responsible for reviewing and verifying AI-generated material before relying on, publishing, or acting upon it.
You must not use AI-generated content in ways that violate applicable laws, including consumer protection, disclosure, or recording consent requirements (e.g., two-party consent for calls). You are responsible for obtaining any necessary consents before the Services place calls or send messages on your behalf.

You must comply with all applicable data protection laws, including obtaining necessary consents from individuals whose data you process. Our data practices are described in our Privacy Policy, which is incorporated into these Terms by reference.
We retain all rights, title, and interest in the Services, including the platform, AI models, software, and branding. You retain ownership of the content and data you submit. By using the Services, you grant us a limited license to process your data solely as necessary to provide and improve the Services, subject to applicable law and your instructions.
Certain features require a paid subscription. You agree to pay all fees as described at the time of purchase. Fees are typically billed in advance and are non-refundable except as required by law or as explicitly stated. We may change pricing with reasonable advance notice. If you cancel, you may continue using the Services until the end of your current billing period.
The Services may connect to third-party platforms (e.g., email providers, calendars, data warehouses, CRMs). We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of third-party services is subject to their respective terms and policies.
To the maximum extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, express or implied. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business arising from your use of, or inability to use, the Services.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless Martell Media LLC, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your infringement of third-party rights, including violations of communication or data protection laws.
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe you pose a risk to the Services or other users. Upon termination, your right to use the Services ceases immediately.
We may revise these Terms from time to time. We will post the updated Terms and update the "Last updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Orange County, California, except where prohibited by law.
